These Terms and Conditions govern the provision of company document retrieval services by UAESA (Pty) Ltd ("UAESA"), a professional tax consultancy. By engaging UAESA to retrieve company documents from the Companies and Intellectual Property Commission (CIPC), the client agrees to the following terms:

1. Scope of Services
1.1. CIPC Company Document Retrieval:
UAESA will assist the client in retrieving specific company documents from CIPC. This includes, but is not limited to, company registration certificates, shareholder information, financial statements, and other relevant company records held by CIPC.

1.2. Documents Available for Retrieval:

Company Registration Certificates (CoR14.3)
Company Name Reservation Documents
Memorandum of Incorporation (MOI)
Annual Returns and Financial Statements
Director Information (CoR39)
Company’s Shareholder Information
Other CIPC-Registered Documents: Any other documents related to company registration and legal standing.
1.3. Service Limitations:
UAESA’s responsibility is limited to retrieving available documents from CIPC. The availability of requested documents is subject to CIPC’s records and their disclosure policies.

1.4. No Guarantee of Availability:
The client acknowledges that some documents may not be available due to historical changes, system limitations, or incomplete CIPC records.

2. Client Responsibilities
2.1. Providing Correct Information:
The client is responsible for providing correct and complete information, including:

Company Name: The registered name of the company.
Registration Number: The company registration number.
Director/Representative Details: If required for document access.
2.2. Authorization:
The client must provide the necessary authorization for UAESA to access CIPC records on their behalf. In some cases, a Power of Attorney or Mandate may be required.

2.3. Accuracy of Provided Data:
The client must ensure that all the details provided are accurate to prevent delays or issues with document retrieval.

3. Fees and Payment Terms
3.1. Service Fee:
UAESA charges a professional service fee for retrieving company documents from CIPC. This fee is subject to the scope and type of documents requested.

3.2. Payment Terms:
All fees are due upfront, unless otherwise agreed in writing.

3.3. Additional Charges:
Additional charges may apply if:

Multiple document retrieval requests are made.
The client requests expedited service.
Extra administrative work is required to fulfill the request.
4. Delivery of Documents
4.1. Document Format:
Retrieved documents will be provided to the client in electronic format (PDF or other agreed formats). Hard copies may be provided upon request, subject to additional charges for printing and courier services.

4.2. Delivery Method:
Documents will be delivered via email, cloud storage links, or physical courier (if requested).

4.3. Timelines:
The retrieval process is typically completed within 5-7 business days depending on the complexity and availability of the requested documents. This timeline may vary based on CIPC processing times.

5. Confidentiality
5.1. Confidential Handling of Information:
UAESA will handle all client information with strict confidentiality and will only use it to fulfill the document retrieval request.

5.2. Data Protection:
UAESA will take reasonable steps to ensure the security and protection of all client data, both during and after the document retrieval process.

6. Limitations of Liability
6.1. No Liability for CIPC Errors:
UAESA will not be liable for any errors, omissions, or inaccuracies in the documents retrieved from CIPC, as these are beyond UAESA’s control.

6.2. Liability for Delays:
UAESA is not liable for delays caused by CIPC’s processing times or issues with document availability.

6.3. No Guarantee of Document Retrieval:
UAESA cannot guarantee the availability or accuracy of documents provided by CIPC. If documents cannot be retrieved, UAESA will inform the client promptly.

7. Termination
7.1. Termination by Client:
The client may terminate the agreement at any time by providing written notice to UAESA. However, fees paid are non-refundable once the service has commenced.

7.2. Termination by UAESA:
UAESA reserves the right to terminate the agreement if the client fails to provide the required information or authorization or if the request is deemed unlawful or unethical.

8. Governing Law and Jurisdiction
8.1. Applicable Law:
These Terms and Conditions are governed by the laws of South Africa.

8.2. Jurisdiction:
Any disputes arising shall be subject to the jurisdiction of South African courts.
